In the end you know exactly which one is the best for your company: a BV or NV. Let us start by telling you why The Netherlands is a good solution to start your company in. The Netherlands is ranked as one of the most favourable locations for corporate businesses in all of Europe. That is because The Netherlands gives you a lot of advantages for a business, if you know which type of company suits your needs. That is why you first have to think about a BV or NV. We would like to tell you more about both types. In the end you know all differences between a BV or NV and which one is best suited for your individual business.
The differences between a BV or NV
In The Netherlands you have a lot of types to start your company in. Two of them are the Public Liability Company (NV) and the Private Liability Company (BV). They both have different characteristics. Therefore it is good to read more about both types and choose whether a BV or NV suits you most. Let us start with the NV. There are many steps to form a NV, but with the right guidance these actions are quick and simple. A portion of your shares will be available for purchase on the stock exchange, but you have to be diligent with it. Some companies have been bought out by random members of the public. The most common characteristics of a Dutch NV are:
- A minimum share capital of 45.000 Euros has to be deposited before the company may be publicaly listed.
- It needs to be formed by notary, similar to the Dutch BV.
- May be publically listed and shares can be traded.
- The NV is lead by a board of directors.
- Shareholders are not listed in the Dutch company register.
Some of these things are similar to a Dutch BV. The big difference is that their stock is not available for public purchase on the stock exchange. But a BV still has to be registered in the Dutch Trade Register and that the shareholders have to be registered to legalize the documents. To know whether you have to choose between a BV or NV for your company, we should make one thing clear: there is no clear answer to that question. Sometimes when a business evolves, the change has to be made to either public or private. Therefore there is a possibility to list a private company to a public listing and start selling on the stock exchange. However, private companies are usually suited for companies who would rather gain strategic investors and simply do not own the 45.000 Euros minimum requirement.
