The differences between a BV or NV

The most common characteristics of a Dutch NV are:

  • A minimum share capital of 45.000 Euros has to be deposited before the company may be publicaly listed.
  • It needs to be formed by notary, similar to the Dutch BV.
  • May be publically listed and shares can be traded.
  • The NV is lead by a board of directors.
  • Shareholders are not listed in the Dutch company register.

Some of these things are similar to a Dutch BV. The big difference is that their stock is not available for public purchase on the stock exchange. But a BV still has to be registered in the Dutch Trade Register and that the shareholders have to be registered to legalize the documents. To know whether you have to choose between a BV or NV for your company, we should make one thing clear: there is no clear answer to that question. Sometimes when a business evolves, the change has to be made to either public or private. Therefore there is a possibility to list a private company to a public listing and start selling on the stock exchange. However, private companies are usually suited for companies who would rather gain strategic investors and simply do not own the 45.000 Euros minimum requirement.
